Either party may terminate the Agreement for no reason or for any reason, provided that the terminating party has given the other party 90 days prior written notice. (i) upon 60 days prior written notice from PRINCIPAL to DISTRIBUTOR in the event that DISTRIBUTOR does not comply with the Minimum Performance Requirements specified in Section 6 (c) of this Agreement and in Addendum D and fails to meet such requirements by the end of the notice period;(ii) immediately upon dispatch of written notice from PRINCIPAL to DISTRIBUTOR in the event that DISTRIBUTOR experiences a material change in management, ownership, control, financial condition, sales personnel, or sales and marketing capability;(iii)immediatelyupondispatchofwrittennoticefromPRINCIPALtoDISTRIBUTORthatPRINCIPAL’ worregulation.
