Principal and Distributor hereby agree that except as otherwise provided in this Agreement,any controversy or dispute arising out of this Agreement,the interpritation of any of the provisions hereof or the action or inaction of any party hereunder shall be submitted to arbitation in Orange County,California,before the American Arbitration Association (AAA)under the commercial arbitration rules then obtainning of AAA.
