Warranties and Representations. (a) DMS shall indemnify, defend and hold harmless Consignee and its officers, directors, agents and employees, from and against any damage, liability, losses, and costs (including reasonable attorney fees and costs of litigation) arising out of or in connection with the followings: (1) any breach by DMS of any term or provision of the Agreement; (2) injury as a result of any defect in any of the Products; (3) claim, action and lawsuit by any third party which insists that Consignee infringes its patents with respect to any one or more of the Products; and (4) any other claims from any customer with respect to the Products to the extent Consignee did not contribute to the claim.

保證與表述。(a) DMS 將保障、防護(hù)承銷商和其官員、主管、代理及雇員不受侵害，免遭任何出自于下列原因或與下列因素有關(guān)聯(lián)而產(chǎn)生的傷害、責(zé)任、損失和費用（包括合理的律師費和訴訟費）：(1) 任何由于DMS違反了協(xié)議的任一項條款或規(guī)定而產(chǎn)生的；(2) 任何因產(chǎn)品的缺陷而導(dǎo)致的傷害與侮辱；(3) 任何第三方堅持認(rèn)為有一件或幾件產(chǎn)品承銷商侵犯了其專利權(quán)，由此而產(chǎn)生的索賠要求、起訴和法律訴訟；再者(4) 在承銷商無法滿足消費者要求的情況下，任何來自消費者的、與產(chǎn)品有關(guān)的其它索賠要求。
