5.ThisAgreementimposesnoobligationsonRECIPEINTinrespecttoINFORMATIONand/orTESTMATERIALwhichRECIPIENTcanestablishbycompeten )wasinthepossessionofRECIPIENTbeforethedisclosurehereunder;b)isorlaterbecomesamatterofpublicknowledgethroughnofaultofRECIPIENT;c)isreceivedbyRECIPIENTfromabonafidethirdpartyfreeofanydutyofconfidentialitytoDISCLOSER;d)isdisclosedbyDISCLOSERtoathirdpartywithoutadutyofconfidentialityimposedthereon;e)isdevelopedbyRECIPIENTindependentlyofthedisclosurehereunder;orf)isrequiredtobedisclosedbytheoperationoflaw.6.IncaseofpositiveresultsitistheinterestofbothpartiestodiscussthepossibilityofcooperationbetweenCASandBAYER.Forthisreasonseparateagreementswouldbeconcluded,butitisunderstoodthatnothinginthisAgreementbindseitherpartytoenterintoanyfutureagreementorarrangement.

5. 接收方可以依據以下有力的證據確立接收方對本協議有關的信息和/或試驗材料不承擔任何義務：a) 在下文的內容透露之前接收方已經擁有； b) 不是接收方的過錯，已經，或是過不久即為公眾所知曉的內容；c) 接收方是從一真誠的、對透露方免于任何保密責任的第三方處獲得的；d) 是由透露方對未賦予保密責任的第三方透露的；e) 由接收方按下文透露的內容獨立開發的；或者f) 法律運作要求透露的信息。6. 如果實際的結果牽涉到雙方的利益，CAS和BAYER將商討合作的可能性。出于這一理由，將締結各分項協議，但可以理解的是本協議沒有任何內容能夠約束任一方參與將來的任何協定或安排。
