The effective date of this agreement is the date of the signature of the last of the two parties to sign. In order to protect certain confidential information which shall be exchanged betweenthe parties agree as The confidential information disclosed under this Agreement by CAS shall be limited to certain new natural pesticide(s) (the Compounds) which show an insecticidal action against Heliothis armigera and which CAS provides to BAYER - hereinafter referred to as INFORMATION - and to samples related thereto,- hereinafter referred to as the TEST MATERIAL-. The TEST MATERIAL should comply in all respects with the INFORMA-TION, especially with regard to known impurities. For a nine (9) months’ term beginning with the date of BAYER’s receiving of the INFORMATION CAS will not provide the Compounds to any other third party for evaluation outside of China. BAYER desires to evaluate under the terms of this Agreement the INFORMATION including the TEST MATERIAL in order to determine BAYER’s interest in joint research of the Compounds or any other cooperation with CAS.

本協議自雙方最后簽署之日起生效。為保護雙方間將交流的特定的保密信息，雙方同意下列事項：1. 本協議項下由CAS披露的保密信息將局限于CAS提供給買方的、確定顯示有殺滅棉鈴蟲殺蟲效果的、新的天然殺蟲劑（混合物）的信息，以下簡稱“信息”——和另行提供的相關樣本，——以下簡稱“試驗材料”——。試驗材料應在各個方面與信息相符，尤其是在有關眾所周知的純度上。自買方接受信息之日起九（9）個月的期限內，CAS將不再把混合物提供給中國之外評估之用的任何其他第三方。為使買方下決心對混合物的共同開發研究感興趣，或為了與CAS的其他方面的合作，買方可在本協議的期限內要求對包括有試驗材料的信息進行評估。
